Official Rules for the ChipDrop + TreeStuff Wood Chipper Giveaway

1. ELIGIBILITY.

The ChipDrop Wood Chipper Giveaway (the “Giveaway”) is open to legal residents of the United States and the District of Columbia, excluding residents of New York, Florida, Alaska, and Hawaii, who are 18 years of age or older at the time of entry, except for the following individuals: (a) employees, officers, directors, agents, and representatives of Chip Drop, LLC (“ChipDrop”) and its affiliates, subsidiaries, distributors, suppliers, advertising, and giveaway agencies, including Vertical Supply Group, Inc. DBA treestuff.com (“VSG”) (“Excluded Individuals”); (b) the immediate family members (mother, father, sister, brother, child, husband, wife and their respective spouses, regardless of where they reside) of Excluded Individuals; and (c) persons living in the same household as Excluded Individuals—whether or not they are related. The Giveaway is void where prohibited by law; all applicable federal, state, and local laws apply. If a winner is at least 18 years old but still considered a minor in his or her jurisdiction of residence, ChipDrop reserves the right to award the Prize (as defined below) to the winner’s parent or legal guardian, who will be required to fulfill all requirements set forth in these Official Rules.

2. GIVEAWAY PERIOD.

The Giveaway entry period begins at 12:01 AM Pacific Daylight Time on October 25, 2026, and ends at 11:59 PM Pacific Daylight Time on March 31, 2027 (the “Giveaway Period”). ChipDrop maintains the official Giveaway timekeeping device.

3. ENTRY.

To enter, you must (1) create or login to your account on getchipdrop.com and use the ChipDrop platform as an arborist employee for or owner of a registered tree service company to make a successful wood chip delivery to a ChipDrop customer; or (2) make an eligible retail purchase from treestuff.com and complete the required Giveaway entry form on the treestuff.com website https://treestuff.com/chipper.

3.1. Alternative Method of Entry.

Neatly handprint your complete name and e-mail address on a plain 3” x 5” piece of paper and mail it to: ChipDrop Wood Chipper Giveaway, 3055 NW Yeon Ave. Suite #545, Portland, OR 97210.

Participants may enter the Giveaway a maximum of one (1) time per calendar week of the Giveaway Period. All entries must be received within the Giveaway Period. ChipDrop assumes no liability for incorrect, late, incomplete, or misdirected entries. If any person uses fraudulent methods or otherwise attempts to circumvent the Official Rules, the entries may be disqualified at the sole discretion of ChipDrop.

By entering the Giveaway, your email address will be used to communicate with you related to the Giveaway and will be added to ChipDrop’s customer email program; however, you can opt out by clicking the opt-out link in any email.

4. PRIZE.

ChipDrop will give away one used (demonstration model) (1) Vermeer BC1000XL wood chipper (the “Prize”):

The Prize has a total retail value of approximately $50,000. Any cost or expense associated with the acceptance or use of the Prize not specified herein as being awarded, including, but not limited to, federal, state, or local taxes, are the sole responsibility of the Winner. As part of the Prize, ChipDrop will facilitate and pay the cost of shipping the Prize to the Winner. ChipDrop will only ship the Prize to the Winner at within the contiguous United States, and the delivery timeline and delivery conditions (e.g. commercial delivery address, safe delivery requirements) will be determined in ChipDrop’s sole and absolute discretion. Prize details are at the sole discretion of ChipDrop. No transfer, assignment, cash redemption, or substitution of the Prize is permitted, except by ChipDrop who reserves the right to substitute the Prize with one of comparable or greater value.

CHIPDROP (AND THE INDEMNIFIED PARTIES) DO NOT WARRANTY THE PRIZE. THE PRIZE IS A DEMONSTRATION MODEL AND IS NOT NEW EQUIPMENT. THE PRIZE IS AWARDED IN AS-IS CONDITION, AND CHIP DROP (AND THE INDEMNIFIED PARTIES) EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. To the extent possible without additional cost to Chip Drop, Chip Drop will assign any manufacturer warranty associated with the Prize to the Prize Winner.

5. ODDS OF WINNING.

The odds of winning depend upon the total number of eligible entries received. The Prize described herein will be awarded.

6. WINNER SELECTION.

The “Winner” of the Prize will be selected from eligible entries in a random drawing within ten days of the end of the Giveaway Period. ChipDrop reserves the right (but is not obligated) to verify eligibility qualifications of the potential Winner. The Winner will be required to provide their full name and may be required to sign an Affidavit of Eligibility and Liability/Publicity Release. WINNER UNDERSTANDS THAT OPERATION OF THE PRIZE POSES SERIOUS SAFETY RISKS, INCLUDING THE RISK OF BODILY INJURY AND DEATH. By accepting the Prize, Winner agrees (1) to operate the woodchipper in accordance with the operator manual, following all safety warnings and using all required or suggested personal protective equipment, and (2) to indemnify, defend, and hold harmless the Indemnified Parties from all risks associated with acceptance or use of the Prize, as further described in Section 9 below.

By entering the Giveaway, the entrant agrees to be bound by these Official Rules and to the decisions of ChipDrop, which will be final and binding in all respects. ChipDrop reserves the right, in its sole discretion, to void the entries of entrants in violation of these Official Rules or believed to have attempted to tamper with or impair the administration, security, fairness, or proper play of this Giveaway.

7. WINNER NOTIFICATION.

ChipDrop will notify the Winner within ten days of the random selection. ChipDrop will contact the Winner at the email address used by such Winner associated with the entry into the Giveaway. The Winner will have seven days to claim their Prize by responding to ChipDrop’s notification. The potential Winner’s failure to respond by claiming their Prize within seven days of notification, or return of the notification email as non-deliverable, may result in disqualification of the Winner and—at the discretion of ChipDrop—awarding of the Prize to an alternate Winner.

8. RIGHTS GRANTED BY WINNER.

ChipDrop may use the Winner’s name and likeness in any medium without permission or further compensation, except as prohibited by law. The identity of the Winner may be obtained by sending a self-addressed and stamped envelope within one year of the Giveaway Period to: ChipDrop Wood Chipper Giveaway Winner’s List, 3055 NW Yeon Ave. Suite #545, Portland, OR 97210.

9. ENTRY TERMS AND CHIPDROP’S USE.

By entering, entrants agree: (1) that ChipDrop may contact the Winner via email and may use the Winner’s name and likeness; (2) ChipDrop may store any entrant’s information and may contact entrants in the future regarding ChipDrop’s promotions or offers; (3) that entrant will not create multiple accounts or otherwise send multiple entries in order to enter the Giveaway more than allowed by these Official Rules; (4) that entrant will not update, post, or link messages in violation of any third party website terms of use or otherwise violate the rights of any third party; (5) that ChipDrop, Vertical Supply Group, Inc. DBA Treestuff.com, and any social media platform, and each respective entity’s affiliates, subsidiaries, advertising and promotion agencies, partners, and each of their respective representatives, agents, successors, assigns, employees, officers, directors, agents, and representatives (collectively the “Indemnified Parties”), shall have no liability and will each be defended and held harmless by entrant or any party claiming through entrant for any claim, action, liability, loss, injury, or damage to entrant or any other person or entity, including, without limitation, personal injury or death to entrant or any other person or damage to personal or real property, arising in whole or in part, directly or indirectly, by reason of the acceptance, possession, use, misuse or non-use of the Prize, or the participation or non-participation in the Giveaway; (6) that ENTRANTS WAIVE ALL RIGHTS TO CLAIM FROM THE INDEMNIFIED PARTIES ANY DAMAGES, INCLUDING WITHOUT LIMITATION, PUNITIVE, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, AND ATTORNEYS’ FEES; (7) to be bound by these Official Rules and the decisions of ChipDrop, which are final and binding on all matters relating to the Giveaway; (8) to waive any right to claim any ambiguity or error in these Official Rules or the Giveaway itself; (9) that ChipDrop is not responsible for taxes associated with winning a Prize in this giveaway; (10) that Winner may be required to provide certain tax related documents to ChipDrop as required by law before receiving the Prize; (11) that all participants must abide by the terms of use of any social media platform, all third party agreements that may affect or be affected by participation in this Giveaway, and all applicable law; and (12) that all information submitted to ChipDrop is subject to the ChipDrop Privacy Policy available through the following link: https://getchipdrop.com/privacy

10. RIGHT TO CANCEL GIVEAWAY.

If for any reason this Giveaway is not capable of being run or implemented as planned (as determined by ChipDrop in its sole discretion), due to any reason including, but not limited to, tampering, unauthorized intervention, fraud, computer viruses or bugs, or any other cause of any kind, which, in ChipDrop’s sole judgment, is likely to or actually corrupts, impairs or affects the administration, security, fairness, integrity, or proper conduct of the Giveaway (including, but not limited to, tampering, unauthorized intervention, fraud, or any other cause of any kind), then ChipDrop reserves the right, in its sole discretion, to cancel, terminate, modify, or suspend all or any part of the Giveaway or to disqualify any implicated entrant and any associated entries. In the event of cancellation or termination, ChipDrop reserves the right, in its sole discretion, to pick the winner in a random drawing from among all eligible, non-suspect entries received up to the time of the event or action warranting such cancellation or termination.

Any attempt to deliberately damage any website or undermine the legitimate operation of this Giveaway is a violation of criminal and civil laws and should such an attempt be made, ChipDrop reserves the right to seek damages (including attorneys’ fees) and other remedies from any such person responsible for the attempt to the fullest extent permitted by law. ChipDrop reserves the right, in its sole discretion, to disqualify any entrants whom ChipDrop believes have attempted to tamper with or impair the administration, security, fairness or proper play of this Giveaway or is in violation of these Official Rules, and void all associated entries.

11. DISCLAIMER.

ChipDrop is not responsible for late, lost, stolen, damaged, illegible, incomplete, misdirected, delayed, garbled, inaccurate, postage due or undelivered mail, or for telephonic, human, or computer failures, interruptions in service due to system upgrades, repairs, modifications, or other causes, failures or malfunctions of connections, satellite, network, cable, Internet Service Provider (ISP), phones, phone lines or telephone systems, traffic congestion on the internet, technical or mechanical malfunctions, or other malfunctions or errors, whether caused by equipment, programming, human error or otherwise relating to or in connection with the Giveaway, including, without limitation, errors which may occur in connection with the administration of the Giveaway, the processing of entries or electronic mail or the announcement, delivery or use of the Prize, or for any injury or damage to participant’s or any other person’s computer relating to or resulting from participation in this Giveaway, or for printing, typographical, computer, network, electronic, mechanical, human or other errors appearing in these Official Rules or other Giveaway-related materials.

VSG and ChipDrop are independent parties. Nothing contained in these Official Rules creates or shall be construed to create any partnership, joint venture, agency, or other similar relationship between VSG and ChipDrop. VSG is not responsible for administering this Giveaway and makes no warranties whatsoever related to the Giveaway or the Prize.

ChipDrop shall have no liability or responsibility whatsoever on account of any error(s) made by VSG related to the Giveaway, whether in providing required or necessary entry details for eligible purchases from treestuff.com or for any other error(s) of VSG.

12. UNFORESEEN CIRCUMSTANCES.

The failure of ChipDrop to comply with any provision of these Official Rules due to an act of God, hurricane, war, fire, riot, pandemic, earthquake, terrorism, act of public enemies, action of governmental authorities, or any force majeure event or event outside the control of ChipDrop, whether in whole or in part, will not be considered a breach of these Official Rules.

13. SEVERABILITY; WAIVER.

These Official Rules will be enforced to the fullest extent permitted by applicable law. If for any reason any provision of these Official Rules is held to be invalid or unenforceable to any extent, then (A) the provision will be interpreted or reformed to the extent reasonably required to render the provision enforceable and consistent with the original intent underlying the provision; (B) the provision will remain in effect to the extent that it is not unenforceable; and (C) the unenforceability of the provision will not affect any other portion of these Official Rules. The failure by ChipDrop to enforce any of the provisions of these Official Rules will in no way be construed as a waiver of any provision of these Official Rules in any instance.

14. GOVERNING LAW; JURISDICTION; CLASS ACTION WAIVER.

This Giveaway is governed by the laws of the State of Oregon, USA, without reference to conflicts of laws principles. AS A CONDITION OF PARTICIPATING IN THIS GIVEAWAY, PARTICIPANT AGREES THAT ANY AND ALL DISPUTES ARISING OUT OF OR RELATED TO THIS GIVEAWAY WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION, EXCLUSIVELY BEFORE THE STATE OR FEDERAL COURTS IN PORTLAND, OREGON.
